Q(i): Can an expert have interviews with clients is the competitor of the company the expert currently works for?
Regardless of the contents of consultation, experts cannot whose end-clients are the the competitors of the companies the experts currently work for.
Q(ii): Can an expert have interviews with clients whose end-client is in the same industry as a company the expert currently works for?
Regardless of the contents of consultation, experts cannot have consultations with companies whose end-clients are from the competitors of the companies the experts currently work for.
Q(i): Can an expert disclose any information he/she acquired during the course of consultation about the nature or details of projects or business activities of clients to anyone?
Experts are prohibited from disclosing any kind of information acquired during consultation with clients to anyone, unless instructed or permitted by clients.
The information include but not limited to
・The nature of client
・The name of client
・Details of business activities of client
・The questions asked during consultation
Q(ii): When given the assurance that information disclosed during consultation will only be used within the client, can an expert share confidential information the client is asking for?
Experts are prohibited from giving any kind of confidential information, regardless of how the information will be used. If client asks you to give information knowing that it is confidential, please report immediately to your contact person in Brainsight. If you are unsure about whether the information is confidential or not, it is best not to disclose it. Disclosing any kind of confidential information (even inadvertently) can result in the violation of confidentiality agreement.
Q: Can an expert who is (or was) a government official have an interview with a client to discuss government policies that are not yet made public, and could potentially influence the client’s industry?
Experts who are (or were) working in governmental offices are prohibited to discuss any kind of information that is not made publicly available.
Q: Can an expert provide confidential information of a specific company (such as financial reports or strategic plans) to a client in exchange of employment opportunity at the client’s firm?
Experts should not share any confidential information of specific companies with the client in an exchange of any kind of incentives or bribery.
Q: Can an expert provide information about his/her company that is not yet disclosed to the public and which could also have an impact on its share price to a client?
Sharing any information that is not made public to investment communities that can have a substantial effect on a company’s share price is prohibited.
Material, nonpublic information (MNPI) include, but are not limited to, corporate strategy, news, or any information that have not yet been made publicly available, and which an investor would likely to consider important or useful in making an investment decision such as to buy, sell, or hold securities.
Q(ii): Can an expert use information gained during consultations to trade securities or make investment decisions?
Experts are prohibited to use information gained during consultations to trade securities or make investment decisions.
Breach of these conditions may result in violation of securities laws or an accusation of civil or criminal fraud.
Q: Can an expert give clients professional advices regarding laws, tax or administrative procedure?
Experts should not give any kind of professional advice which can only be given by professionals with appropriate qualification.
Professional advices that require qualification include, but not limited to
・Laws (only given by certified lawyers)
・Tax laws (only given by certified tax accountants)
・Administrative procedure (only given by certified Administrative Procedures Legal Specialists)
